Orkla ASA: Continued ownership by the Hagen family

On 25 May 2026, Caroline Marie Hagen Kjos assumed control of Tvist 1 AS and indirect control of Canica AS. In connection therewith, Canica AS, Canica Investor AS, Tvist 1 AS and the estate of Stein Erik Hagen (the "Estate") have entered into a shareholders' agreement relating to their joint ownership in Orkla ASA ("Orkla" or the "Company").

Under the shareholders' agreement, the parties have agreed that Canica AS shall be responsible for exercising the parties' voting rights and other shareholder rights in Orkla.

The parties to the shareholders' agreement own in total 250,386,000 shares in Orkla, representing approximately 25.003% of the shares and votes in the Company when taking into account all outstanding shares, including treasury shares, out of which 196,351,000 shares are owned by Canica AS, 3,885,000 shares are owned by Tvist 1 AS, 50,050,000 shares are owned by Canica Investor AS, a company indirectly owned by members of the Hagen family, and 100,000 are owned by the Estate.
