Kats, Netherlands – September 16, 2026 – Reference is made to the stock exchange announcement published by The Kingfish Company N.V. (Euronext Growth Oslo: KING) (the "Company" or "Kingfish") on 4 September 2026 regarding the allocation of new shares in the Subsequent Offering (as defined therein).

The Subsequent Offering has been carried out following the Private Placement and the CLA Conversion (as further described and defined in the Company’s stock exchange announcement dated 12 May 2026) in order to facilitate equal treatment of shareholders by limiting the dilutive effect of the Private Placement and providing shareholders who did not participate in the Private Placement with an opportunity to subscribe for shares at the same subscription price as in the Private Placement.

The Company is pleased with the outcome of the Subsequent Offering, which attracted participation from a significant proportion of eligible shareholders and raised approximately EUR 2.4 million through the issuance of 42,272,359 new shares (the "New Shares").

The completion of the Subsequent Offering marks the final step of the Company’s strategic financial restructuring. The restructuring has resulted in a significantly simplified capital structure, strengthened the Company’s equity base and materially reduced net debt, while providing additional liquidity to support the business. With a substantially strengthened balance sheet and improved financial flexibility, the Company is well positioned to continue its growth journey, further develop its operations and pursue long-term value creation.

Pursuant to the authorisation granted to the Supervisory Board of the Company by the Company's extraordinary general meeting on 19 June 2026, the Supervisory Board has today resolved to issue the New Shares. The corresponding share capital increase has been effected by private deed with immediate legal effect and will be filed with the Dutch Trade Register.

The Company’s new share capital is EUR 9,402,534.43, divided into 940,253,443 ordinary shares, each with a nominal value of EUR 0.01.

The New Shares are expected to be delivered to the subscribers' respective VPS accounts and become tradeable on Euronext Growth Oslo on or about tomorrow, 17 September 2026.
