Elmera Group ASA: Receipt of non-binding indication of interest

Bergen, 25 June 2026. Reference is made to the announcement by Audax Renovables S.A. ("Audax") regarding its intention to launch an unsolicited voluntary offer (the "Offer") to acquire all outstanding shares in Elmera Group ASA ("Elmera").

Elmera hereby announces that the board of directors (the "Board") has received a non-binding indication of interest from another strategic player regarding a potential voluntary offer to acquire all outstanding shares in the Company (the “Indication”) at an indicated price significantly higher than the price indicated by Audax. The Board has entered into a due diligence and exclusivity agreement with this interested party and the process has been ongoing for several weeks.

The Board has chosen to disclose this information at the current stage to orderly inform the market and ensure equal treatment of all shareholders.

Shareholders are advised not to take any action in respect of their shares in the Company, including selling or otherwise disposing of their shares, until further announcements have been made by the Board.

There can be no assurance that the Indication will result in a firm offer being made, or as to the terms and conditions of any such offer. The Company will make further announcements in due course, as and if appropriate.

The Company has engaged ABG Sundal Collier ASA as financial adviser and Advokatfirmaet Haavind AS as legal adviser to assist the Board in the process to safeguard the interests of the Company and its shareholders.
