CIRCIO HOLDING ASA SHARE CAPITAL INCREASE REGISTERED FOLLOWING EXERCISE OF WARRANTS AND UNDERWRITTEN PRIVATE PLACEMENT
Oslo, 18 June 2026: Reference is made to the stock exchange announcement published by Circio Holding ASA (OSE: CRNA) (the "Company" or "Circio") on 9 June 2026 regarding (i) the results of the exercise period for the warrants (Nw.: frittstående tegningsretter) with ISIN NO0013711523 (the "Warrants") and (ii) a private placement of new shares at a subscription price of NOK 8.2508 per share directed at such underwriters as described therein (the "Underwritten Private Placement").
The exercise of the Warrants resulted in the issuance of 25,781,827 new shares (the "Warrants Shares") in the Company, and the Underwritten Private Placement resulted in the issuance of 10,578,283 new shares (the "Private Placement Shares", and together with the Warrants Shares, the "New Shares").
The share capital increases pertaining to the issuance of the New Shares is now registered with the Norwegian Register of Business Enterprises (Nw.: Foretaksregisteret). Following the registration, the Company's new registered share capital is NOK 164,719,483.20, divided into 274,532,472 shares, each with a nominal value of NOK 0.60.
The New Shares are expected to be delivered to the shareholders on or about 19 June 2026.
