Atlantic Sapphire ASA: Increase of Bridge Loan

Reference is made to the stock exchange notice by Atlantic Sapphire ASA (the "Company") regarding the Company's financing situation and the ongoing refinancing of the Group, including the earlier USD 10 million bridge loan announced on 28 March 2026 (which has now been converted into equity), the additional USD 10 million tranche announced on 26 June 2026, and the additional USD 3 million (in two tranches of USD 1.5 million each) announced on 24 August 2026 and on 8 September 2026 (jointly, the "Bridge Loan").

To improve the Company's liquidity situation, the Company has agreed with Condire Management L.P., Nordlaks Holding AS, Strawberry Capital AS, Nokomis Capital Master Fund, L.P. and Joh. Johannson Eiendom AS to raise an additional tranche of the Bridge Loan ("Bridge Loan Tranche E") of USD 3 million. The Bridge Loan Tranche E will be governed by materially the same terms and conditions as the earlier tranches of the Bridge Loan but will not be subject to an origination fee and will have an interest rate of 20% p.a and a Maturity Date of 30 June 2027.
