Completion of share capital reduction and change in number of shares and voting rights

Arribatec Group ASA (the "Company" or "Arribatec") refers to the resolution passed at the annual general meeting held on 27 May 2026, whereby the following was resolved:

"The share capital of the Company is reduced by cancellation of 2,000,000 own shares acquired by the Company. The reduction amount is transferred to distributable equity. The Board is authorised to amend the Articles of Association accordingly upon completion of the capital reduction."

The share capital reduction has now been completed and was registered with the Norwegian Register of Business Enterprises (Foretaksregisteret) on 1 September 2026.

As a result of the reduction, 2,000,000 treasury shares with a nominal value of NOK 1.00 each have been cancelled, and the reduction amount of NOK 2,000,000 in total has been transferred to distributable equity. Prior to the reduction, the Company's share capital was NOK 68,978,676, divided into 68,978,676 shares.

In accordance with the resolution of the general meeting, the Board of Directors has amended Section 3 of the Company's Articles of Association accordingly. The updated Articles of Association are attached to this announcement in Norwegian (original) and English (translation).

Total number of shares and voting rights:

With effect from 1 September 2026, the Company's share capital is NOK 66,978,676, divided into 66,978,676 shares, each with a nominal value of NOK 1.00 and each carrying one vote. The Company has no share classes with differentiated voting rights.

The total number of shares and voting rights in Arribatec Group ASA is accordingly 66,978,676.
