Capsol Technologies ASA - Cancellation of the Subsequent Offering
Oslo, 27 March 2026: Reference is made to the stock exchange announcement made by Capsol Technologies ASA (the "Company") on 13 March 2026 regarding the launch of a subsequent offering of up to 3,500,000 new shares in the Company (the "Subsequent Offering"), at a fixed subscription price of NOK 5.20 per share (the "Subscription Price"), equal to the offer price in the private placement completed on 29 January 2026 (the "Private Placement"), and with a subscription period commencing on 16 March 2026 and expiring today, 27 March 2026 at 16:30 CET.
Throughout the subscription period, the Company's shares have traded below the Subscription Price, which is also currently the case. Consequently, existing shareholders who did not participate in the Private Placement have had the opportunity to acquire shares in the Company at prices below the Subscription Price and reduce dilutive effects of the Private Placement.
On the basis of the above, the Company has decided to cancel the Subsequent Offering.
