CMB.TECH special general meeting results

ANTWERP, Belgium, 8 October 2026, 15:00 CET - CMB.TECH NV ("CMBT", "CMB.TECH" or "the company") (NYSE: CMBT, Euronext Brussels: CMBT and Euronext Oslo Børs: CMBTO) announces that today the Special General Meeting of Shareholders (the "General Meeting") has approved the proposed shareholder distribution of USD 0.64 per share, as conditionally announced on 27 August 2026. All other resolutions proposed by CMB.TECH's Supervisory Board are also approved.

Approval of the Distribution

The General Meeting approved a total distribution of USD 0.64 per share, consisting of (i) an intermediary dividend of USD 0.21 per share (subject to 30% withholding tax, to the extent no exemption or reduction applies) and (ii) a payment of USD 0.43 per share out of the available share premium (which is exempt from withholding tax) (the "Distribution").

The Supervisory Board has determined the following timing for the payment of the Distribution:

As a result, there will be different ex-dividend dates between the exchanges.

Due to the implementation of CSDR in Norway, the Distribution payable on common shares that are registered in the VPS settlement system in order to be traded on OSE is expected to be distributed to VPS shareholders on or about 27 October 2026.

No withholding tax is due on the USD 0.43 per share distribution out of the share premium reserve. The intermediary dividend of USD 0.21 per share is, in its entirety, subject to 30% withholding tax to the extent that no exemption or reduction applies. The company encourages you to contact your bank, broker, nominee or other institution if you have any questions regarding the mechanics and timing of having the Distribution attributable to your common shares credited to your account.

Other resolutions

The General Meeting also approved the proposed shareholder distribution of minimum USD 50 million and maximum USD 250 million out of the available share premium.
