Circio Holding ASA: Mandatory notification of trade (share lending in connection with private placement)

Oslo, Norway, 15 September 2026: Reference is made to the stock exchange announcement published by Circio Holding ASA ("Circio" or the "Company", OSE: CRNA) regarding the completion of a private placement (the "Private Placement") raising gross proceeds of approximately NOK 200 million through the issuance of 16,865,000 new shares (the "Offer Shares") at a subscription price of NOK 11.80 per share.

The Offer Shares allocated in the Private Placement will be settled on a delivery-versus-payment (DVP) basis using existing and unencumbered shares in the Company that are already listed on Euronext Oslo Børs, pursuant to share lending agreements entered into between the Company, a group of existing shareholders, including Sølen AS, a company closely associated with primary insider and board member Thomas Falck, as share lenders and Pareto Securities AS (as manager in the Private Placement).
