Xplora Technologies AS: Launch of share buy-back programme

Oslo, 8. September 2026 - Xplora Technologies AS ("Xplora" or the "Company") hereby announce a share buy-back programme.

The purpose of the buy-back programme is to acquire shares for use in connection with Xplora's Employee Share Purchase Program (ESPP) and to fulfill obligations arising from the Company's Management Incentive Programme (MIP). The buy-back programme will be carried out on the basis of the authorisation granted to the board of directors at the Annual General Meeting held on May 21, 2026. The buy-back programme includes the purchase of a maximum of 500,000 shares for a total amount of up to NOK 25,000,000.00. The buy-back programme will be implemented from 8 September 2026 and will end no later than 30 September 2026.

DNB Carnegie, a part of DNB Bank ASA will manage the buy-back programme, making all decisions regarding the timing and execution of the purchases of the Company's shares without any influence from Xplora. The buy-backs will be conducted in compliance with the Market Abuse Regulation (EU) No. 596/2014, the Delegated Commission Regulation (EU) 2016/1052, and Euronext Oslo Børs' guidelines for buy-back programmes and price stabilisation from February 2021.

The Company reserves the right to make subsequent changes to the above terms for the buy-back programme and will in such case make appropriate announcements in this respect.
