CSV Normand Maximus - declaration of purchase option

Solstad Offshore ASA's ("SOFF") subsidiary Normand Maximus AS (as charterer) entered into a bareboat charterparty (the "BBCP") for the CSV Normand Maximus on 7 October 2022 with Maximus Shipping AS (as owners). Maximus Shipping AS is a wholly owned subsidiary of Solstad Maritime ASA ("SOMA"). Pursuant to the BBCP, Normand Maximus AS is entitled to purchase Normand Maximus after five years of chartering i.e. in October 2027 with 12 months advance notice for a purchase price of USD 125.000.000.

Normand Maximus AS has today declared the purchase option of Normand Maximus. Pursuant to the BBCP and the purchase option declaration, Normand Maximus AS will purchase Normand Maximus in October 2027. The BBCP will terminate from delivery of Normand Maximus from Maximus Shipping AS to Normand Maximus AS in October 2027.

SOFF intends to finance the purchase price through external debt financing.
