Otovo ASA: New share capital registered

Oslo, 7 April 2026 Reference is made to the stock exchange notice published by Otovo ASA ("Otovo") on 2 April 2026 regarding the definitive agreement (the "SPA") entered into between Otovo and EnergyAid Inc. ("EnergyAid") whereby Otovo has acquired 100% of the issued and outstanding shares in EnergyAid (the "Transaction"). The share capital increase pertaining the issuance of the consideration shares has today been registered with the Norwegian Register of Business Enterprises (Nw. Foretaksregisteret). Following the registration, Otovo's share capital is NOK 7,379,580.40, divided into 73,795,804 shares, each with a nominal value of NOK 0.10. The newly issued shares have been delivered on a separate, unlisted ISIN pending publication of a listing prospectus. This information is subject of the disclosure requirements pursuant to section 5 -12 of the Norwegian Securities Trading Act.
