Grant of Restricted Stock Units and Performance Shares
On April 28, 2026, The Annual General Meeting of Nordic Semiconductor ASA approved the issue of Restricted Stock Units (RSUs) and Performance Shares of an aggregate nominal value of up to 1% of the company’s outstanding share capital. In total in this release, 816,644 RSUs and Performance Shares have been granted, equivalent to 0.41% of the company’s outstanding share capital. As basis for the calculation of RSUs and Performance Shares, a volume weighted average share price the five trading days after the Annual General Meeting of NOK 190.26 has been used.
All Employee Plan
Today, on May 7, 2026, the company has granted 713,506 RSUs to employees under the all-employee program. For employees, the RSUs will vest after two or three years and the shares will be delivered to the employee after the vesting date against payment of the par value of the share (subject to the employee's continued employment with the Company). The shares may be newly issued shares or existing treasury shares.
Executive Management Plan
With reference to the Annual General Meeting held on April 28, 2026, members of the Executive Management team have today been granted a total of 41,255 RSUs and 61,883 performance shares in the company. The RSUs will vest after three years and the shares will be delivered to the employee after the vesting date against payment of the par value of the share (subject to the employee's continued employment with the Company). The shares may be newly issued shares or existing treasury shares.
The performance shares are issued conditional upon the achievement of a certain set of objectives. The performance shares vest and will be delivered at par value upon the completion of the performance period, which is three years. The PSU award will vest at 50% upon threshold performance, at 100% upon achievement of the performance targets, and at a maximum of 200% upon maximum performance achievement. As such, if maximum performance is achieved, a total of 123,766 performance shares will be delivered to the Executive Management Team, equivalent to two times the base performance share award.

Vegard Wollan, CEO, received 7,506 RSUs and 11,258 performance shares. Following the grant, Vegard has 151,000 shares, 40,990 RSUs and 50,618 performance shares in the company.
Øyvind Birkenes, EVP BU Long-Range, received 3,582 RSUs and 5,374 performance shares. Following the grant, Øyvind has 10,790 shares, 14,181 RSUs and 18,773 performance shares in the company.
Ola Boström, SVP Quality, received 2,372 RSUs and 3,557 performance shares in the company. Following the grant, Ola has 6,177 shares, 11,991 RSUs and 14,939 performance shares in the company.
Pål Elstad, CFO, received 3,669 RSUs and 5,504 performance shares. Following the grant, Pål has 44,138 shares, 18,429 RSUs and 22,968 performance shares in the company.
Joakim Ferm, SVP BU Wi-Fi, received 2,321 RSUs and 3,482 performance shares. Following the grant, Joakim has 2,824 shares, 9,994 RSUs and 11,918 performance shares in the company.
Kjetil Holstad, EVP Corporate Strategy & BU PMIC, received 3,582 RSUs and 5,374 performance shares. Following the grant, Kjetil has 19,859 shares, 17,727 RSUs and 22,112 performance shares in the company.
Sonja Kusmin, SVP People & Culture, received 2,436 RSUs and 3,655 performance shares. Following the grant, Sonja has 2,801 shares, 7,711 RSUs and 9,764 performance shares in the company.
Geir Langeland, EVP Sales, received 3,861 RSUs and 5,791 performance shares. Following the grant, Geir has 224,411 shares, 19,481 RSUs and 24,273 performance shares in the company.
Ole-Fredrik Morken, EVP Supply Chain, received 3,318 RSUs and 4,976 performance shares. Following the grant, Ole-Fredrik has 196,721 shares, 16,570 RSUs and 20,821 performance shares in the company.
Øyvind Strøm, EVP BU Short-Range, received 3,582 RSUs and 5,374 performance shares. Following the grant, Øyvind has 10,000 shares, 14,181 RSUs and 18,773 performance shares in the company.
Ståle Ytterdal, SVP Investor Relations, received 1,746 RSUs and 2,619 performance shares. Following the grant, Ståle has 143,708 shares, 10,512 RSUs and 12,711 performance shares in the company.
Jo Uthus, EVP Marketing and Developer Experience, received 3,280 RSUs and 4,919 performance shares. Following the grant, Jo has 3,280 RSUs and 4,919 performance shares in the company.
