NOD: Reporting of transactions made by persons discharging managerial responsibilities in Nordic Semiconductor ASA's shares

Reference made to the 2026 Annual General Meeting (AGM) approving that part of the Directors’ remuneration for 2026 should be paid in shares in the Company. As approved by the AGM, the share-based part of the compensation for 2026 is paid after the AGM in 2026, and the number of shares is based on the tax adjusted amount due in NOK (NOK 227,515 for ordinary board members and NOK 635,958 to the chair minus tax), divided by the share price at closing on the day of the AGM 2026.

Based on the closing price on April 28, 2026 of NOK 188.60, a total of 4,097 shares have been transferred to the Board Members. Please see attached notifications for persons discharging managerial responsibilities in Nordic Semiconductor ASA in accordance with Regulation EU 596/2014 (MAR) article 19. The underlying shares have been provided by transfer of the Company’s holding of treasury shares.

Subsequent to the transaction Nordic Semiconductor holds a total of 1,317,344 treasury shares in addition to 1,003,634 shares held for the founders of Memfault Inc.

Dieter May, Chair of the Board, was allocated 1,685 shares. Following the allocation, Dieter owns a total of 15,232 shares in Nordic Semiconductor ASA.

Inger Berg Ørstavik, Board Member, was allocated 603 shares. Following the allocation, Inger owns a total of 8,810 shares in Nordic Semiconductor ASA.

Lars Aa. Løddesøl, Board Member, was allocated 603 shares. Following the allocation, Lars owns a total of 3,103 shares in Nordic Semiconductor ASA.

Annastiina Hintsa, Board Member, was allocated 603 shares. Following the allocation, Annastiina owns a total of 7,210 shares in Nordic Semiconductor ASA.

Helmut Gassel, Board Member, was allocated 603 shares. Following the allocation, Helmut owns a total of 2,291 shares in Nordic Semiconductor ASA.
