NOD: Final share transfer related to acquisition of Mobile Semiconductor

Reference is made to the stock exchange notice published by Nordic Semiconductor ASA (OSE: NOD) on July 8, 2022 regarding the acquisition of Mobile Semiconductor Inc., and the subsequent closing announcement on March 9, 2023.

As disclosed in the closing notice, part of the purchase consideration was settled in shares in Nordic Semiconductor ASA. Of the total 312,843 shares allocated as consideration, 94,495 shares were withheld and subject to certain conditions for a period of up to three years.

A portion of the withheld shares was released in 2024. The remaining conditions have now been met, and Nordic Semiconductor ASA has therefore transferred the final 69,520 shares to eligible shareholders of Mobile Semiconductor Inc.

Following this transfer, all share-based consideration related to the acquisition of Mobile Semiconductor Inc. has been fully settled.
