MPCES: Invitation to Extraordinary General Meeting on 8 December 2026
Amsterdam/Oslo -- 3 November 2026
MPC Energy Solutions NV ("MPCES" or the "Company") have convened an Extraordinary General Meeting ("EGM") for 8 December 2026 to seek shareholder approval for a proposed delisting from Euronext Growth Oslo, the registration of the Company's shares on Euronext NOTC following the delisting, and the conversion of the Company from a Dutch NV into a Dutch BV with a simplified governance structure.
The Management Board believes that MPCES has reached a stage where the benefits of maintaining a public listing no longer justify the associated costs and administrative burden. The Company's shareholder base is concentrated, while trading activity has remained limited. The Company also does not anticipate raising additional debt or equity capital through the public markets.
To support shareholder liquidity following the proposed delisting, MPCES intends to seek registration of its shares on Euronext NOTC. The NOTC system provides shareholders with an organized mechanism for secondary trading through participating Norwegian brokers and is intended to facilitate continued trading following the Company's removal from Euronext Growth Oslo.
As part of the proposed restructuring, shareholders will also be asked to approve the conversion of the Company into a Dutch private company with limited liability (BV) and amendments to the articles of association, including the dissolution of the Supervisory Board and the simplification of the Company's governance framework following the delisting.
Stefan H.A. Meichsner, Managing Director and CFO of MPC Energy Solutions, commented: "We have carefully evaluated the costs and benefits of maintaining our public listing. Given our concentrated shareholder base, limited trading activity and the absence of any foreseeable need to access the public capital markets, we believe delisting is in the best long-term interest of the Company and its shareholders. At the same time, we recognize the importance of providing shareholders with a continued trading mechanism following the delisting. The proposed registration on Euronext NOTC is intended to facilitate an orderly transition while we simplify our corporate structure and continue focusing on returning cash from our remaining assets."
Shareholders recorded as holders of shares on 10 November 2026 will be entitled to participate and vote at the EGM. Further information, including the meeting notice, proposed resolutions and voting procedures, is available on the Company's website.
