Hexagon Composites ASA: Mandatory notification of trade - provisional award of PSUs

2 July 2026: The Board of Directors of Hexagon Composites ASA ("Hexagon Composites" or the "Company") has resolved to provisionally award 5,451,837 (and up to a maximum of 10,903,674) Performance Share Units ("PSUs") to executives.

The actual number of PSUs to be allocated will depend on financial performance in 2026, 2027, and 2028, in addition to the development of the market capitalization of the Company from award and up to vesting. Dependent upon performance, the number of PSUs can range from a minimum of zero and maximum of 10,903,674. Each vested PSU will give the holder the right to receive one share in the Company at an exercise price corresponding to the par value of the shares being NOK 0.10. The total number of outstanding restricted share units ("RSUs") and PSUs, including the provisional award stated above, are now 277,000 and provisionally 10,274,038 respectively.

The PSU allocation is in accordance with the Board of Director's remuneration policy for the executive management. This policy is described in the Company's Guidelines for remuneration of executive personnel as approved at the Annual General Meeting on 4 June 2026. The PSUs are non-transferable and will vest on or around 30 April 2029 subject to satisfaction of the applicable vesting conditions.

Of the maximum 10,903,674 provisionally awarded PSUs, maximum 6,464,946 PSUs will provisionally be awarded to primary insiders.
