CodeLab Capital AS - New share capital registered

Reference is made to the stock exchange announcement made by CodeLab Capital AS (the "Company") on 12 October 2026 regarding the successful private placement of 4,829,768 new shares in the Company at a subscription price of NOK 6 per share, raising gross proceeds of NOK 28,978,608 (the "Private Placement"). Reference is further made to the subsequent EGM of October 30th 2026, where the issuance of the new shares in the private placement and the consideration shares for the acquisition of Mdco AS were both approved.

The share capital increase pertaining to the issuance of the abovementioned shares has now been registered with the Norwegian Register of Business Enterprises. The Company's new share capital is NOK 90,352,317.538556508, divided into 36,584,666 shares, each with a nominal value of NOK 2.469677256.
