Bruton Limited (BRUT) - Amended Notice of Annual General Meeting
Reference is made to the notice of annual general meeting of shareholders of Bruton Limited (the "Company") (Ticker: "BRUT") dated July 17, 2026, convening the annual general meeting to be held on Wednesday, August 12, 2026 (the "Original Notice").
The share premium amount stated in proposal 5 of the Original Notice was incorrectly stated as US$181,238,009. The correct amount currently standing to the credit of the share premium account of the Company, and therefore the correct amount of the proposed reduction and to be transferred from the Company's share premium account to the Company's contributed surplus account is US$226,039,548. An amended notice of the annual general meeting reflecting the corrected share premium amounts, and amended proposal 5, is attached to this press release.
The Annual General Meeting will be held on Wednesday, August 12, 2026 at 9:00 a.m. Bermuda time via a Microsoft Teams meeting, originating from the Company's registered office at 2nd Floor, S.E. Pearman Building, 9 Par-la-Ville Road, Hamilton HM11, Bermuda. The Board of Directors has fixed the close of business on July 20, 2026, as the record date for determination of the shareholders entitled to receive notice of, attend and vote at the Annual General Meeting or any adjournment thereof.
If any NDR holder has previously submitted a Voting Instruction form in response to the Original Notice, they will need to submit an updated Voting Instruction form in the form attached to the amended notice.
