Aqualis ASA: Initiates the process of re-listing to Euronext Growth Oslo
Reference is made to the stock exchange announcement by Aqualis ASA ("Aqualis" or the "Company") on 27 May 2026 regarding, inter alia, the resolution by the Company's annual general meeting to authorize the Company's board of directors (the "Board") to apply for a transfer of the listing of the Company's shares from Euronext Oslo Børs to Euronext Growth Oslo (the "Re-Listing"). The authorization was conditional on the admission to trading on Euronext Growth Oslo being carried out in a manner that preserves eligible shareholders' ability to continue holding their shares in a share savings account (Nw. aksjesparekonto).
Following the Norwegian Government's confirmation in the National Budget published on 7 October 2026 of its intention to make shares traded on Euronext Growth Oslo eligible for inclusion in share savings accounts with effect from 1 January 2027, and receiving confirmation that existing shareholders may continue holding their shares on their existing share savings account following a transfer to Euronext Growth Oslo, the Board has resolved to initiate the Re-Listing.
The delisting application submitted today will be conditional upon Euronext Oslo Børs approving the Company's application for admission to trading on Euronext Growth Oslo, which is expected to be filed in the course of Q4 2026. Subject to approval of the application of admission to trading by Euronext Oslo Børs, the Company intends to complete the Re-Listing before year-end.
The Board believes that Euronext Growth Oslo is a better fit for the Company at its current size and stage of development. The regulatory framework of Euronext Growth Oslo is tailored to growth companies and imposes requirements that are proportionate to its operations. This is expected to reduce the costs and administrative burden associated with the listing and allow management to devote more resources to the Company's business. Shareholders will continue to benefit from a transparent marketplace for their shares while retaining the opportunity to hold their shares in a share savings account.
The Company's shares will remain listed on Euronext Oslo Børs until all conditions for the Re-Listing have been satisfied, and trading in the shares is expected to continue without interruption until the first day of trading on Euronext Growth Oslo.
Further information about the Re-Listing, including the expected last day of trading on Euronext Oslo Børs and the first day of trading on Euronext Growth Oslo, will be announced in due course.
