Aker ASA: Conditions for completion of merger with Aker BioMarine satisfied
Fornebu, September 30, 2026 - Reference is made to the merger between Aker BioMarine ASA ("Aker BioMarine") and Aker Capital NewCo AS ("MergerCo"), an indirect wholly-owned subsidiary of Aker ASA ("Aker") announced on July 16, 2026 and approved by an extraordinary general meeting of Aker BioMarine on August 17, 2026 (the "Merger").
All conditions for the Merger have now been fulfilled and the Merger is expected to be completed after close of trading on October 1, 2026.
Shareholders in Aker BioMarine (other than MergerCo) will for each Aker BioMarine share held as of the expiry of October 1, 2026 (as registered in Euronext Securities Oslo (VPS) on October 5, 2026 (the record date) receive merger consideration in the form of 0.0706 shares in Aker, plus a cash amount of NOK 21 per share, as further regulated in the merger plan for the Merger.
Aker will settle the share portion of the Merger consideration with a combination of treasury shares and shares borrowed from Aker's largest shareholder, TRG Holding AS, as announced on July 17, 2026. Accordingly, no new shares will be issued by Aker in connection with completion of the Merger.

Fractions of Aker consideration shares will not be allotted in the Merger. For each Aker BioMarine shareholder the number of Aker shares will be rounded down to each whole number, or to zero shares. Excess shares, which because of this round down will not be allotted to eligible shareholders, will be issued to and sold by an appointed investment bank or other third party according to instructions from Aker at the expense and risk of the beneficiaries, with a proportionate distribution of net sales proceeds among the shareholders who have the number of consideration shares rounded off.
