Issue of warrants
COPENHAGEN, Denmark, 23 April 2026 – Napatech (OSLO: NAPA.OL) today reports that the board of directors (the "Board") of Napatech A/S has decided to issue warrants to the board members Lynn Comp, Patricia Kummrow, Shannon Poulin and Zane Ball.
The Board's decision was made in accordance with the authorization to the Board pursuant to article 7.12 of the company's articles of association, adopted by the general meeting at the annual general meeting on 23 April 2026.
The authorization from the annual general meeting in amounts to a total of 70,000 warrants (corresponding to a total nominal value of DKK 17,500).
A total of 10,000 warrants have been issued to each of Lynn Comp, Patricia Kummrow, Shannon Poulin and Zane Ball. The warrants are subject to a 4-year linear vesting period, with 25% of the granted warrants vesting yearly on 24 April, the first time being on 23 April 2027. All of the Warrants will have vested on 23 April 2030.
Each warrant entitles the holder to subscribe for one new share of nominally DKK 0.25, subject to the vesting mechanism. The warrants may be exercised at an exercise price of DKK 39.24 per warrant, corresponding to the share trading price at the close of business at the Oslo Stock Exchange on 23 April 2026 plus 20%.
The issued warrants will be subject to the new Napatech Warrant Program 2026, which is an integrated part of the company's articles of association. The warrants may be exercised only after three years after the granting, upon their vesting, and within five years after vesting.
Following this issue, Lynn Comp holds zero shares and 10,000 warrants in the company Patricia Kummrow holds 10,000 shares and 20,000 warrants in the company, Shannon Poulin holds 18,330 shares and 20,000 warrants in the company,and Zane Ball holds 6,000 shares and 20,000 warrants in the company.
