2020 Bulkers Ltd. (2020) Board Resolution to Approve the Issuance of Consideration Shares

Reference is made to the stock exchange announcements published by 2020 Bulkers Ltd. (the "Company") in connection with the purchase of shares in AHTS AS and the subsequent purchase by AHTS AS of five separate project companies.
The acquisition of AHTS AS and four of the project companies was completed on 1 October 2026. As announced by the Company, the purchase of the shares in the last of the project companies, Anchor Australia AS, would be completed following delivery of the vessel "Skandi Peregrino" to Anchor Australia AS. Skandi Peregrino has today been delivered to Anchor Australia AS. Consequently, AHTS AS will acquire the shares in Anchor Australia AS. The completion of the acquisition is expected to take place on 5 October 2026.
In anticipation of the completion of the purchase of the shares in Anchor Australia AS, the Company's board of directors has resolved to issue 55,721,310 consideration shares to the selling shareholders for 100% of the shares in Anchor Australia AS (the "Consideration Shares").
The issue of the Consideration Shares is conditional upon the acquisition of the shares being completed, and certain customary administrative conditions.
The Consideration Shares will be designated with a separate, temporary ISIN, BMG9156K1190. As a result, these shares will not be fungible with, and will not be tradable on Euronext Oslo Børs together with, the Company's existing common shares registered under ISIN BMG9156K1018 until a listing prospectus has been approved by the Norwegian Financial Supervisory Authority and published by the Company (the "Prospectus"). Following approval and publication of the Prospectus, the New Shares will be converted into, and become fungible and tradable together with, the Company's existing common shares under ISIN BMG9156K1018.
