Fjord Defence Group ASA – Disclosure of major shareholding

Reference is made to the stock exchange announcement made by Fjord Defence Group ASA (the "Company") earlier today, 26 August 2026, regarding the successful completion of the Acquisition (as defined therein), including the board of directors' resolution to issue 14,998,382 new shares in the Company to Permec Group AB and 767,959 new shares to certain key individuals of PartnerTech (as defined therein) as part settlement of the consideration payable by the Company in the Acquisition (the "Consideration Shares").

Prior to the subscription for 14,998,382 Consideration Shares, Permec Group AB did not hold any shares, rights to shares or voting rights in the Company.

Following the issuance of 14,998,382 Consideration Shares to Permec Group AB, and the resulting increase in the total number of issued shares and votes in the Company, Permec Group AB will hold a total of 14,998,382 shares in the Company, representing approximately 12.83% of the Company's 116,890,030 issued shares and votes upon registration of the share capital increase in the Norwegian Register of Business Enterprises, expected on or about 27 August 2026, thus exceeding the 5% and 10% thresholds pursuant to section 4-2 of the Norwegian Securities Trading Act. Permec Group AB will hold the Consideration Shares directly for its own account and will have no rights to further shares or voting rights in the Company.
