NOD: Delivery of shares to the founders of Memfault Inc.

(Oslo, Norway – July 22, 2026) Reference is made to the stock exchange notice by Nordic Semiconductor ASA on June 24, 2025, regarding the acquisition of Memfault Inc., pursuant to which the founders of Memfault Inc. would reinvest 30% of their share sale proceeds in Nordic Semiconductor shares. Nordic Semiconductor has now delivered 334,545 shares to the founders of Memfault Inc. Subsequent to the transaction, Nordic Semiconductor holds a total of 1,317,344 treasury shares in addition to 669,089 shares held for the founders of Memfault Inc.
