On 01 July 2026, Nekkar ASA (Nekkar) delivered 450,296 own shares from treasury as consideration for the acquisition of minority shareholdings in FiiZK AS. The delivery forms part of Nekkar's planned and announced buy-out of minority shareholders in FiiZK following Nekkar's exercise of the call option to acquire Frøya Invest AS' (referred to as "Bewi Invest") 40.43 percent shareholding in FiiZK on 19 June 2026, on equivalent terms. Prior to the transactions on 01 July 2026, Nekkar ASA held 5,544,962 own shares, corresponding to 5,16 percent of the company's share capital. Following the transactions, Nekkar ASA holds 5,094,666 own shares, corresponding to 4,74 percent of the company's share capital. Through this transaction, Nekkar's holding of own shares has crossed below the 5 percent threshold.
Own shares do not carry voting rights, and these transactions therefore do not affect the distribution of voting rights in the company.
This notification is made in accordance with the Norwegian Securities Trading Act § 4-2 and related regulations.
