Fjord Defence Group ASA – Notice of extraordinary general meeting

Oslo, 19 June 2026:

Reference is made to the stock exchange announcements made by Fjord Defence Group ASA ("Fjord Defence Group" or the "Company") on 17 and 18 June 2026 regarding the agreement to acquire 100% of the shares in PartnerTech Karlskoga Aktiebolag (the "Acquisition"), the successful private placement of 25,000,000 new shares (the "Offer Shares") at a price per Offer Share of NOK 16.50, thereby raising gross proceeds to the Company of approx. NOK 412.5 million, and the potential subsequent repair offering (the "Subsequent Offering").

The Company's board of directors hereby calls for an extraordinary general meeting to be held on 10 July 2026 at 10:00 CEST in relation to the Acquisition and the Subsequent Offering. The general meeting will be held as a digital meeting only, accessible via Microsoft Teams.

The notice of the general meeting is attached to this announcement and will, together with the registration and proxy form and other appendices, also be made available on the Company's website, www.fjorddefencegroup.no.

Advance votes may be registered through the Company’s website https://www.fjorddefencegroup.no (use Ref. no. and PIN code included in the notice) or through VPS Investor Services. In VPS Investor Services, select Corporate Actions – General Meeting – ISIN.
