Subscription by and conditional allocation to primary insiders in Pryme N.V. in a private placement

Reference is made to the private placement announced by Pryme N.V. (the “Company”) on 2 December 2025, subject to shareholder approval in an extraordinary general meeting of shareholders to be held on 17 December 2025 (the “Private Placement”).

Circular Plastics Coöperatief U.A., a person closely associated with Mr Jan Willem Muller, a member of the supervisory board of Pryme N.V., has on 2 December 2025 been conditionally allocated 7,357,269 new shares in the Private Placement corresponding to an equity investment of EUR € 2.5 million in the Company.

Taranis Operations Limited, a person closely associated with Mr. Emmanuel Colombel, a member of the supervisory board of Pryme N.V., has on 2 December 2025 been conditionally allocated 7,357,269 new shares in the Private Placement corresponding to an equity investment of EUR € 2.5 million in the Company.
