Exercise of share options and RSUs, including primary insiders, and share capital increase

Oslo, Norway, 13 August 2026: On 13 August 2026 Pexip Holding ASA ("Pexip" or "Company") closed its regular RSU and share option window for employees ("Participants").

RSUs: In accordance with the vesting plan for the Company's RSU program, some of the RSUs have been exercisable into shares. Participants exercised a total of 4,670 RSUs, and 930,350 RSUs remain in the program.

Share options: 301,668 share options were exercised at an average strike price of NOK 37.50. The gains have been calculated based on the closing share price on 13 August 2026, 81.00 NOK per share, and Participants have all chosen to receive the net gains in shares rather than pay the strike price amount upfront. A total of 3,362,500 share options remain under the option program.

For the exercised RSUs and share options 158,482 new shares will be issued and 8,203 shares will be delivered from the Company's treasury holdings, for a total of 166,685 shares to be delivered.

Further, the board of Pexip has, pursuant to an authorization granted at the annual general meeting on 17 April 2026, resolved to increase the company's share capital by NOK 2,377.23 through the issuance of 158,482 new shares, each with a nominal value of NOK 0.015, at a subscription price of NOK 0.015 per share. Once the share capital increase has been completed, Pexip will have a share capital of NOK 1,568,822.295 divided into 104,588,153 shares, each with a nominal value of NOK 0.015.

Following the exercise, the Company's treasury holdings will be 39,252 shares.

The following primary insiders exercised share options: CEO, Trond K. Johannessen exercised 133,334 share options at an average strike of NOK 38.07. He will receive 70,667 shares. After the transaction he will hold 448,539 shares and have 680,000 rights to shares in the Company.

CFO, Øystein Dahl Hem exercised 53,334 share options at an average strike of NOK 38.07. He will receive 28,267 shares following the exercise. After the transaction he will hold 248,032 shares and have 280,000 rights to shares in the Company.

COO, Helge Hoff Hansen exercised 25,000 share options at an average strike of NOK 38.07. He will receive 13,250 shares following the exercise. After the transaction he will hold 42,066 shares and have 160,000 rights to shares in the Company.

CMO, Patricia Auseth exercised 30,000 share options at an average strike of NOK 38.07. She will receive 15,900 shares following the exercise. After the transaction she will hold 78,630 shares and have 160,000 rights to shares in the Company.

CPO, Ingrid Woodhouse exercised 30,000 share options at an average strike of NOK 38.07. She will receive 15,900 shares following the exercise. After the transaction she will hold 79,793 shares and have 160,000 rights to shares in the Company.
