Kongsberg Gruppen ASA - Key information regarding the demerger of Kongsberg Gruppen ASA

Transaction: Demerger of Kongsberg Gruppen ASA ("KOG ASA"), whereby KOG ASA’s assets, rights and liabilities that primarily relate to the Kongsberg Maritime business will be transferred to Kongsberg Maritime ASA ("KM ASA") against KOG ASA's shareholders at the time of completion of the demerger receiving consideration shares in KM ASA.

Date on which the corporate action was made public: 17 December 2025.

Exchange ratio: 1:1, each share in KOG ASA entitles the holder to one share in KM ASA.

Other information: Euronext Oslo Børs has resolved to admit the shares of KM ASA to trading on Euronext Oslo Børs. In connection with the admission to trading, KM ASA has prepared a prospectus approved by the Financial Supervisory Authority of Norway, made available on https://www.kongsberg.com/maritime/news-and-events/events/approval-and-publication-of-prospectus-in-connection-with-separate-listing-on-euronext-oslo-bors/.

Following completion of the demerger, KOG ASA will have a share capital of NOK 167,125,756.55 divided into 879,609,245 shares, each with a nominal value of NOK 0.19.

Following completion of the demerger, KM ASA will have a share capital of NOK 52,776,554.70 divided into 879,609,245 shares, each with a nominal value of NOK 0.06.

KOG ASA's shares will continue to trade under ISIN NO 0013536151, and KM ASA's shares will trade under ISIN NO 0013697029.
