Elkem ASA: Minutes from Extraordinary General Meeting

Reference is made to the stock exchange announcements published by Elkem ASA ("Elkem" or the "Company") on 13 February 2026 regarding the entry into of an agreement (the "Share Purchase Agreement") to sell the majority of its Silicones division to Bluestar to be settled with all Elkem shares held by Bluestar Elkem International Co. Ltd. S.A. (the "Contemplated Transaction"), and the notice of the extraordinary general meeting of Elkem to be held on 9 March 2026 to, inter alia, vote on the approval of the Share Purchase Agreement and to resolve the redemption of Bluestar's shares.
The extraordinary general meeting of the Company was held today, 9 March 2026. The general meeting, inter alia, resolved to approve the Share Purchase Agreement and the redemption of Bluestar's shares. The complete minutes of the extraordinary general meeting are attached to this announcement and are also available on the Company's website.
The approval of the Share Purchase Agreement and the resolution to redeem Bluestar's shares mark an important step towards completion of the Contemplated Transaction, which is expected to take place in late April or early May 2026, subject to the expiry of the creditor notice period and certain other customary closing conditions.
