AKBM – Offer under Employee Share Purchase Program and share capital increase
26 Feb 2026: Aker BioMarine ASA (the "Company") has renewed its offer of new shares to employees in the Company and its Norwegian subsidiaries on similar terms as for the last 3 previous years (the "Employee Share Purchase Program"). The deadline for acceptance of the offer in the Employee Share Purchase Program expired on 26 Feb 2026, at 16:30 CET.
The offer price for the shares in the Employee Share Purchase Program has been set to approximately NOK 83,01 (the "Offer Price"). The Offer Price is based on the volume-weighted average share price for the Company's shares on the Oslo Stock Exchange during the last five trading days prior to, and including, the last day of the application period, with a discount of 20%. Any shares acquired in the Employee Share Purchase Program will be subject to a lock-up period of two years, and the reduced offer price shall reflect the value-reducing effect of the lock-up period.
Based on the applications received in the Employee Share Purchase Program, the board of directors of the Company has allocated a total of 20,127 new shares to the participants in the Employee Share Purchase Program (the "Program Shares").
Furthermore, the board of directors has, on the basis of the authorisation granted to it by the annual general meeting held on 25 April 2025, resolved to increase the share capital of the Company with NOK 120 762, by issuance of 20,127 new shares, each with a nominal value of NOK 6.00, at a subscription price equal to the Offer Price. The Program Shares comprise approximately 0.01% of the existing and outstanding shares in the Company prior to their issuance.
Following the registration of the share capital increase with the Norwegian Register of Business Enterprises (Nw.: Foretaksregisteret), the new share capital of the Company will be NOK 526 341 156, divided into 87 703 399 shares, each with a nominal value of NOK 6.00.
